Terms of Service

These Terms govern your use of the Jotqo workflow-automation and casework platform (the "Service"), provided by «Karvon Labs and Tech» MChJ ("Jotqo", "we", "us"), a limited liability company organized under the laws of the Republic of Uzbekistan (Tax ID / INN 311442884), 20 Begoyim Street, Tashkent 100178, Uzbekistan. By using the Service you agree to these Terms. If you use the Service on behalf of an organization, you agree on that organization's behalf and confirm you are authorized to do so.

1. Accounts

You must provide a valid email address and verify it before using the Service (email verification is enforced). You are responsible for activity under your account and for keeping your credentials secure. A workspace has members with roles; every workspace has at least one owner. Account holders must be adults.

2. Workspaces and your responsibilities as a workspace owner

The Service is multi-tenant: your data lives in a workspace you control. As a workspace owner you are responsible for:

The content you and your members put in the workspace — cases, files, contacts, templates, and configured AI behaviour.
The people whose data you process ("your data subjects"), including anyone who submits a public form to your workspace, and including students where you use the Service in education. You are the controller of that data; Jotqo acts as your processor (see the Privacy Policy). You are responsible for having a lawful basis to collect and process that data, for providing any required notices to your respondents, and — where respondents may be minors — for obtaining any parental or school consent required by applicable law.
Your public forms — you decide what to collect and are responsible for the lawfulness and appropriateness of those forms.

3. AI features

The Service offers AI features that process your workspace content using a third-party AI provider (currently Google Gemini). By enabling and running an AI feature, you instruct Jotqo to send the relevant workspace content — which can include verbatim case content and uploaded files — to that provider for processing. See the Privacy Policy §4.

AI outputs may be inaccurate or incomplete. AI features (including grading, casework steps, and the Scout assistant) are assistive tools, not professional advice, and are not a substitute for human review or professional judgment. You are responsible for reviewing AI output before relying on it — in particular for academic, legal, financial, or other consequential decisions. Do not rely on AI output as the sole basis for such a decision.

4. Credits and billing

The Service meters usage in credits. The following reflects the current platform configuration; pricing is configurable and may change with notice.

Credit model

A workspace's credits are split into two buckets: a monthly plan allowance (use-it-or-lose-it, reset each billing period) and a durable prepaid top-up balance (rolls over). The spendable total is their sum.
AI usage is metered per 1,000 tokens, priced by model: gemini-2.5-flash = 1 credit / 1,000 tokens; gemini-2.5-pro = 4 credits / 1,000 tokens; an unrecognized model is charged at the higher (4) rate. Credits are rounded up. Usage is metered on every exit path, including cancelled or errored jobs, because those still incur provider cost.

The Classroom Free plan is offered at no charge. Classroom Pro is billed monthly; during the current early-access period, payment is arranged directly with us (automated card billing is not yet available). We will give notice before changing how charges are collected, and any applicable taxes and refund terms will be presented at that time.

Hard-stop behaviour

When a workspace's spendable balance reaches zero or below, the account is marked exhausted and AI work is blocked (checked at AI-job start, each resumable execution leg, and workflow start). A bounded overshoot may push the balance slightly negative before the stop engages; it is repaid by the next top-up. There is no automatic charge on exhaustion — work simply stops until credits are added.

5. Acceptable use

You agree to use the Service lawfully and not to misuse it. You agree not to:

upload or process content that is illegal, infringes intellectual-property or privacy rights, or that you lack the lawful basis to process;
submit others' personal data without a lawful basis and required notices/consents;
upload malware, or use the Service to attack, probe, or disrupt it or others;
attempt to circumvent the technical limits below, the credit system, or access controls, or to abuse the AI or public-form surfaces (including automated bulk submission);
resell or provide the Service to third parties except through your own workspaces and members as intended.

The Service enforces the following technical limits (stated honestly as the actual enforcement, not aspirational policy):

Request size: individual requests are capped (256 KB per request; 64 KB per string field). Oversized requests are rejected.
Mutation rate: a per-user write rate limit (120 mutations/minute) applies; reads are exempt.
Public form submissions: unauthenticated public-form endpoints are rate-limited (default 100 submissions/hour per entry point, hard ceiling 1,000).
Per-workspace resource caps: plan-tiered caps apply to members, templates, template instances, cases, knowledge documents, files, and concurrent AI jobs. Most caps hard-block on breach; the contacts cap degrades (a new case drops the contact link rather than failing).
Platform AI ceiling: a platform-wide daily AI-token circuit breaker (default 20,000,000 tokens/day) can pause new AI jobs service-wide under extreme load. This is an operational safeguard, not a per-customer entitlement.

We may suspend or limit access to protect the Service, other users, or to address a violation of these Terms; where practical we will give notice.

6. Availability

The Service is provided on an "as available" basis with no service-level agreement (SLA) or uptime guarantee at launch. The Service depends on Google Cloud/Firebase and third-party providers (Gemini, Telegram, Mailgun) and may be interrupted by their outages, by maintenance, or by the operational safeguards in §5.

7. Intellectual property

Your content is yours. As between you and Jotqo, you retain all ownership of your workspace content. You grant Jotqo a limited, non-exclusive license to host, process, and transmit your content — including through the subprocessors listed in the Privacy Policy — solely to operate and provide the Service to you.
The Service is ours. Jotqo and its licensors own the Service, its software, and its trademarks. We grant you a limited, non-exclusive, non-transferable right to use the Service in accordance with these Terms.

8. Termination and deletion

You may stop using the Service at any time and request deletion of your workspace or account (see §9 and the Privacy Policy §8).
Deletion path. Deletion is operator-executed: we freeze the workspace, then run a deletion process that removes workspace content, subject to the legal carve-outs below. Account deletion removes the account and personal-notification data but is refused if the user is the last owner of any workspace (the workspace must be deleted or ownership transferred first).
Retained on deletion (carve-outs): financial records (credit ledger), platform audit entries (which reference a workspace by id only), and aggregate usage rollups are retained after deletion for legal/integrity reasons.
We may suspend or terminate your access for a material breach of these Terms, for non-payment once paid plans apply, or where required by law. For breaches capable of cure we will, where practical, give notice and an opportunity to cure. On termination your right to use the Service ends; the carve-outs above and Sections 7, 9, and 10 survive.

9. Data protection

The processing of personal data is described in the Privacy Policy, which is incorporated by reference. Workspace owners are controllers of their workspace content; Jotqo is the processor and processes that content only on the controller's documented instructions. A Data Processing Agreement is available on request.

10. Disclaimers, limitation of liability, and indemnity

Disclaimer of warranties. To the maximum extent permitted by applicable law, the Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that AI output will be accurate.

Limitation of liability. To the maximum extent permitted by applicable law, Jotqo will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or relating to the Service. Jotqo's total aggregate liability arising out of or relating to the Service will not exceed the greater of (a) the amounts you paid to Jotqo for the Service in the 12 months before the event giving rise to the claim, or (b) USD 100. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.

Indemnification. You will defend, indemnify, and hold harmless Jotqo from and against third-party claims, damages, and costs (including reasonable legal fees) arising out of or relating to your content, your use of the Service, your public forms, or your violation of these Terms or of applicable law.

11. Governing law and disputes

These Terms are governed by the laws of the Republic of Uzbekistan, without regard to conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the competent courts of Tashkent, Republic of Uzbekistan, except where mandatory law gives you the right to bring proceedings in your place of residence.

12. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above and, for material changes, notify account holders by email. Your continued use of the Service after a change takes effect means you accept the updated Terms.
